Terms of Service
These terms are an agreement between you and Bald Eagle Leadership ("we", "us") covering your use of Conspectus at conspectusapp.com, including feedback pages reached through links we send. Creating a sign-in or using Conspectus means you accept these terms and our Privacy Policy. If you do not accept them, do not use Conspectus.
1. What Conspectus is
Conspectus is software that supports coaching delivered by Bald Eagle Leadership. Fees, schedules, and the scope of coaching are set by a separate coaching agreement between us and you or your organization. These terms cover the software. If they conflict with a signed coaching agreement, the coaching agreement controls.
2. Accounts
- Access is by invitation only. You must be at least 18 and using Conspectus in connection with a coaching engagement.
- Your invite link is for you alone. Keep your password private, and tell us right away if you think someone else has used your account.
- We may suspend or close an account that is misused, or when the coaching engagement ends.
3. Acceptable use
You agree not to:
- try to see records you were not given access to, or get around access controls;
- try to identify who gave a particular piece of anonymous feedback;
- upload information you have no right to share, or anything unlawful or malicious;
- overload, probe, scrape, or reverse engineer the service;
- use Conspectus to harass anyone or to make decisions about anyone's employment.
Vantage and Evaluate are for your professional work: your role, your team, the people you work with, your organization, your career, or a document from work. Questions about other subjects are declined, and each person has a daily limit on how many they can run.
4. Feedback (360) surveys, pulse surveys and the Leadership Signature
Feedback surveys are for the client's development. The sponsor chooses who is asked and, once the coach releases them, sees the combined results (never self-ratings, written answers or any one rater's answers). Results may not be used, by the client, a sponsor, or the client's organization, as a basis for pay, promotion, discipline, or performance ratings. Raters are told this before they answer, and that promise depends on everyone keeping it. Raters agree to answer honestly and in good faith, and not to forward their personal link.
Pulse surveys ask everyone at a client, or one team, a few anonymous questions about their work. Answers are never linked to the person who gave them, results are shown only for groups of at least five people, and written comments are read by the coach while the organization sees only a summary of themes. Pulse results may not be used to evaluate, discipline or reward any individual, including any manager.
The Leadership Signature describes how a person tends to decide at work, for their development. A released Signature report is shared with the person and their sponsor. It shows tendencies, not ability or potential. It may not be used, by a sponsor or the client's organization, as a basis for hiring, promotion, pay, discipline, termination, or performance ratings. A sponsor may also see where a person with a released report sits on their organization's group map. With the person's permission, given before they start, their answers with their name removed may be used to check and improve the instrument; saying no has no effect on their report or coaching.
A sponsor approves the coaching plan for their organization and sees that the work is happening (dates and counts), never what is said or written in confidence. What a sponsor sees may not be used, by the sponsor or the client's organization, as a basis for pay, promotion, discipline, termination, or performance ratings.
5. Your content and AI output
What you put into Conspectus stays yours. So does what Conspectus produces from it for you, such as summaries, themes, findings, drafts and saved runs ("output"). Where your coaching is arranged by an organization, its coaching agreement decides what the organization may keep; these terms do not give it more.
You give us permission to store, process, and display your content and output, including through the service providers named in the Privacy Policy, only as needed to provide the coaching and run Conspectus.
We do not use your content or output to train AI models, ours or anyone else's. How our AI providers may use what they receive is set out in the Privacy Policy. We may use counts and other information that cannot identify you or your organization (for example, how often a feature is used, or what an AI call cost) to run and improve Conspectus.
You confirm you have the right to share what you upload, including information about other people. If you upload a recording or transcript of a conversation, you confirm that everyone in it agreed to be recorded where the law requires that.
If you send us ideas or suggestions about Conspectus, we may use them without owing you anything.
6. AI-generated material
Conspectus uses AI tools to analyze text and draft summaries, findings, and suggestions. AI output can be incomplete, out of date, or wrong, and it can read as confident when it is not. Similar requests from different people can produce similar output, so we do not promise that output is unique to you or that you could own it exclusively.
Output is a starting point for discussion with your coach. It is not legal, medical, financial, psychological, or human-resources advice. Conspectus does not use AI to make decisions about anyone's job, pay, or standing, and nobody may use AI output from Conspectus, alone or as a main reason, to make a decision about a person's employment. You are responsible for any decision you make, and for checking output before you rely on it or pass it on.
7. Coaching is not therapy
Coaching and Conspectus are not mental-health treatment, medical care, or legal advice. If you are in crisis or need clinical care, contact a qualified professional or, in the United States, call or text 988. When something typed into Vantage or Evaluate looks like it needs a counselor, therapist, doctor, or lawyer, Conspectus says so and does not run it.
The limit of confidentiality. If what a person being coached types suggests that someone may be at risk of harm, Conspectus shows them emergency contacts and tells their coach that the safety screen was triggered, so the coach can check in with them. The coach is not told what was typed, and Conspectus does not keep it. Sponsors are never told. The screen is automatic and cautious, so it can be triggered when nobody is at risk.
The safety screen can miss things. It is a cautious, automatic check of what is typed into Vantage and Evaluate, nothing else. Nobody watches Conspectus in real time, and it is not a crisis or emergency service. Do not rely on it to get help for you or anyone else: if someone is in danger, call 911 or, in the United States, call or text 988.
8. Our software
Conspectus and its content library, other than your content, belong to Bald Eagle Leadership. You may use them only for your coaching engagement while your access lasts.
Coaches can read the library's own patterns in full. A coach may use them in their own coaching, including sending a piece based on one to their own coachee through Conspectus, but may not copy, publish, sell, teach or redistribute them, in whole or in part, or use them to build a competing product. This continues after access ends.
9. Availability and changes
We work to keep Conspectus available but do not promise it will be uninterrupted or error-free. We may change or discontinue features. If we change these terms in a way that matters, we will update the effective date and ask signed-in users to accept the new version.
10. Disclaimers
To the extent the law allows, Conspectus is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10A. Services we rely on
Conspectus depends on outside providers, including those named in the Privacy Policy. We choose them carefully, but we are not responsible for their outages, errors, or changes to their services, beyond what the law requires of us.
11. Limitation of liability
To the extent the law allows, Bald Eagle Leadership will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to these terms, Conspectus, AI output, or any decision made using them, even if we were told such damages were possible.
Our total liability for all claims about Conspectus combined, including claims about AI output, is limited to the greater of the amount you paid us for Conspectus access in the 12 months before the first claim, or $100. This limit does not cover the coaching itself, which your coaching agreement governs.
Some places do not allow these limits, so they may not apply to you.
11A. Responsibility for misuse
If someone makes a claim against us because of content you uploaded without the right to, because you or your organization used Conspectus or its results in a way these terms prohibit (including for employment decisions under section 4), or because you broke the law in using Conspectus, you will cover our reasonable costs of dealing with that claim, including legal fees and any amount we have to pay. If you use Conspectus for an organization, as a sponsor or otherwise, the organization takes on this responsibility too.
12. Ending use
You may stop using Conspectus at any time and ask us to delete your information as described in the Privacy Policy. Sections 4, 5, 6, 8, 10, 11, 11A, 12A, 13, and 13A continue after your access ends.
12A. Time limit for claims
To the extent the law allows, any claim about Conspectus must be brought within one year after it arises, or it is permanently barred.
13. Governing law and disputes
These terms are governed by the laws of the State of Alabama, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Jefferson County, Alabama, unless your coaching agreement says otherwise. To the extent the law allows, you and we each give up the right to a jury trial, and claims may be brought only individually, not as a class or representative action.
13A. General
These terms, the Privacy Policy, and any coaching agreement are the whole agreement about Conspectus. If any part of these terms cannot be enforced, the rest still applies. Not enforcing a term right away does not waive it. You may not transfer these terms; we may transfer them to someone who takes over Conspectus, and will tell you if we do. Neither of us is responsible for delays caused by events outside reasonable control, such as outages of the services we rely on, natural disasters, or government action.
